Introduction to the Terms

Thank you for visiting the POC Diagnostics website and associated services accessible 
at https://poc-diagnostics.co.uk (collectively, the “Sites”) is owned and operated by 
Point of Care Diagnostics. POC Diagnostics is an online website that offers a dedicated 
to revolutionizing healthcare service by providing accessible, accurate, and reliable point
of-care medical testing solutions. 
We offers the website, including all information, products and services available to you, 
the user, conditioned upon your acceptance of all terms, conditions, and policies stated 
herein. 
These Terms of Service (“Terms'') govern your access to and use of the Site and 
Services. We've tried to keep the Terms as straightforward as possible, for example, by 
explaining some of the key concepts below in plain English to aid in your understanding, 
but please note those explanations are not legally binding. If you have any comments or 
questions about these Terms, please email us and let us know.  

2. Applicable Terms

Your use of the Website is subject solely to these Terms and the referenced Privacy 
Policy, among other agreements or policies referenced therein (these agreements are 
hereby incorporated into these Terms by reference and together with these Terms are 
collectively referred to as the “Agreement”). Undefined capitalized terms used in these 
Terms have the meanings ascribed to them in the relevant agreement, policy, or terms 
incorporated by reference into the Agreement.   
As pertains to the Website, ( the “Effective Date” ) of the Agreement is the earlier of the 
date of your initial acceptance of these Terms (or Updated Terms, as applicable) and 
access to the services accessible through any online provisioning provided by Us. 
Notwithstanding the foregoing, for the avoidance of doubt, as pertains to the Site, these 
Terms remain in full force and effect as of the “Effective as of” date above. 
Please read this Agreement carefully and make sure you understand it. If you do not 
understand the Agreement, or do not accept any part of it, then you are not permitted and 
may not use the Website.

3. Our Legal Information

Trading as POC Diagnostics. (inclusive of our 
subsidiaries, collectively referred to as “POC Diagnostics”, “we”, “us”, or “our”). As used 
in the Agreement, “you” or “User” ‘Customer’ means the individual or entity you are 
accessing the Site or using the Services on behalf of.  

4. Eligibility 

The Website is Available only for individuals aged 16 years or older unless national law 
provides for a lower digital consent age, and explicit parental consent has been obtained 
where required. If you are age 13 or older but under the age of 18, or the legal age of 
majority where you reside (if that jurisdiction has an older age of majority), then you agree 
to review these Terms with your parent or guardian to make sure that both you and your 
parent or guardian understand these Terms and you agree to have your parent or 
guardian review and accept these Terms on your behalf.

5. Terms of the Service

The Agreement sets forth the terms for purchasing and using the Service. Customer’s 
Order constitutes a legally binding offer to enter into an Agreement. By placing an Order, 
the Order shall become binding on the Customer. The acceptance of the Order shall be 
by way of a written Order Confirmation issued by POC Diagnostics to its earliest 
convenience. Only accepted Order shall become binding on POC Diagnostics. In no event 
will POC Diagnostic's absence of a response constitute an acceptance of the Order. By 
placing an Order, the Customer (a) acknowledges and agrees to be bound by these 
Terms and Conditions, and (b) acknowledges that any terms presented in any Customer’s 
purchase orders or any other Customer’s documents related to the Order have no effect 
and shall not apply. The Customer warrants that the representative who fills out the Order 
Form and places the Order has the authority to bind the Customer to this Agreement.  
In case of any contradiction between the Order Confirmation and these Terms and 
Conditions, the Order Confirmation shall prevail.  

6. Confidentiality

Each Party agrees to keep in confidence all material and information received from the 
other Party marked as confidential or which should be understood to be confidential, and 
not to use such material and information for any other purposes than those set forth in 
the Agreement 
The restrictions above shall not apply to information which: (i) was in POC Diagnostic's 
possession prior to disclosure by the Customer; or (ii) is now or hereafter comes into the 
public domain other than by default of POC Diagnostics; or (iii) was lawfully received by 
POC Diagnostics from a third party acting in good faith having a right of further disclosure; 
or (iv) is required by law to be disclosed by POC Diagnostics; or (v) which is required by 
a regulatory or accreditation body to be disclosed to it for the purpose of regulating or 
accrediting POC Diagnostics.

7. Pricing and Payment Terms

Prices set forth in the purchase of a product or service via the website shall be exclusive 
of tax which shall be added to the order form or invoice.  
You may be asked to supply certain information relevant to your Purchase including, 
without limitation, your credit card number, the expiration date of your credit card, and 
your billing address. You represent and warrant that: (i) you have the legal right to use 
any credit card(s) or other payment method(s) in connection with any Purchase; and that 
(ii) the information you supply is true, correct and complete. You expressly agree that 
Point of Care Diagnostics is not responsible for any loss or damage arising from the 
submission of or false inaccurate information. 
Please be aware that we do not directly collect credit card information from you, but 
through an authorized third-party payment processor authorized by us.

8. Customer’s Obligations

The Customer hereby agrees and warrants as follows: 
i. The Customer shall provide POC Diagnostics with accurate and sufficient 
information and material required for providing the Service in the agreed extent 
and as scheduled. The Customer is responsible for the contents of the 
Customer information and for the instructions and orders provided by the 
Customer.

The Customer shall contribute to the performance of the Service with respect 
to providing product type, number of products to be purchased and any 
important information;  
The Customer shall refrain from engaging in any illegal, unfair or deceptive 
trade practices, unethical business practices whatsoever, providing false 
information regarding the Service in publications related to the use of the 
Service or to the products purchased from the service.  
The Customer agree to conduct its responsibilities in accordance with any 
instructions given by POC Diagnostics.  
The Customer shall be solely responsible for the results of its performance of 
the products purchased from us.

9. Compliance

It is Your sole responsibility to familiarize Yourself with all laws and regulations applicable 
to the receipt, use, storage and safeguarding of data provided by us or maintained by you 
in connection with your use of our Services. You agree to maintain commercially 
reasonable physical, electronic and procedural controls and safeguards to protect any 
such information received pursuant to these Terms from unauthorized use or disclosure, 
including the maintenance of appropriate safeguards to restrict access to the consumer 
data solely to carry out the purposes for which the information was disclosed.

10. Indemnity

The Customer shall indemnify and hold harmless POC Diagnostics and its Affiliates 
(including their directors, officers, agents, employees and stockholders) against all 
liabilities, damages, expenses, costs, claims and/or proceedings provided by the 
Customer to POC Diagnostics, including Personal Data, provided that such unauthorized 
use is not caused as a direct result of POC Diagnostic's breach of this Agreement. The 
Customer shall also indemnify and hold harmless POC Diagnostics and its Affiliates 
(including their directors, officers, agents and employees and stockholders) against all 
liabilities, damages, expenses, costs, claims and/or proceeding arising out of the 
Customer’s operations based on the Service and/or the Service and Products or any use 
thereof.

11. Privacy and Data Protection

We only collect few personal information from you when you decide to purchase on the 
Website. We will collect from you personal data such as your name (optional), email 
address and type of products, which is classified as personal data under the GDPR (Art. 
9). As the Controller, the Customer shall be responsible for any use of Personal Data 
included in the material within the scope of the Agreement. The Customer shall comply 
with applicable privacy and data protection legislation. The Customer warrants that it has 
the right to provide any and all Personal Data included in the material within the scope of 
the Agreement and that it provides POC Diagnostics only such Personal Data, which can 
lawfully be transferred and disclosed to PoC Diagnostics. 
We will ensure to securely maintain and protect your information in compliance with the 
General Data Protection Regulation (EU 2016/679) and applicable United Kingdom Data 
Protection Act, as applicable. To learn more about how we use your personal data, please

12. Warranty and Guarantee

POC Diagnostics warrants to the Customer that POC Diagnostics will provide the 
Service in a professional manner according to its established Medical diagnostics 
procedures conforming to standard industry practice. No other guarantee or warranty 
exists, including, but not limited to, any warranty regarding accuracy, operability, 
sufficiency or completeness of information or merchantability, marketability, or fitness for 
any particular purpose of the Services and Products. The Service and Products are not 
intended for diagnostic use. The Customer shall use the Service and Products in its 
operations at its own discretion and responsibility. In case the Customer notifies POC 
Diagnostics of any defect in the Service and Products within fourteen (14) days of the 
delivery, POC Diagnostics shall either remedy the defect or re-perform the Service at its 
expense. Such warranty shall be POC Diagnostic's sole liability for defects in the 
Service.

13. No medical responsibility by the Website 

POC Diagnostics does not provide medical services. The Website associated with POC 
Diagnostics also does not mediate doctor-patient relationships. Any medical products 
provided on these website is based on independent analysis by professionally qualified, 
licensed personnel. POC Diagnostics shall not be liable for medical diagnostics, 
recommendations or treatments, as these are the sole responsibility of the respective 
professional.

14. Website Contents

All content on this website is for informational purposes only. It should not be considered 
a substitute for professional medical or dental advice, diagnosis, or treatment.

15. Intellectual Property 

All content, design, logos, and images on this website are the property of Point of Care 
Diagnostics or its licensors. You may not reproduce, distribute, or use any content from 
this site without prior written consent.

16. Limitation of Liability

While we strive to ensure all consultation are performed to the highest standards, POC 
Diagnostics shall not be held liable for any complications or adverse effects resulting 
from use of any products purchase via the website, you must ensure your use of any 
products or service purchased must be in accordance with industry standards, except in 
cases of gross negligence or intentional misconduct. We do not guarantee the accuracy 
of any information provided via the service, neither do we offer medical advice.  

17. Revisions and Errata

The materials appearing on POC Diagnostic's web site could include technical, 
typographical, or photographic errors. PoC Diagnostics does not warrant that any of the 
materials on its web site are accurate, complete, or current. POC Diagnostics may make 
changes to the materials contained on its web site at any time without notice. POC 
Diagnostics does not, however, make any commitment to update the materials.

18. Termination

The Agreement becomes effective on the Effective Date and shall remain in force until 
you stop using the Website or purchasing from us. You reserve the right to terminate your 
use of the service at any time and request the deletion of your data or withdrawal of your 
consent. We also reserve the right to immediately suspend or terminate the Service to 
any User without warning and notice for violation or breach of any of the agreement in 
this Terms of Service.

19. For European Union (EU) Users

If you are a European Union consumer, you will benefit from any mandatory provisions of 
the law of the country in which you are resident in including the European Union GDPR.

20. Severability  

If any of the provisions or part of a provision of these Website Terms is judged to be illegal 
or unenforceable, the continuation in full force and effect of the remainder of the 
provisions or provision will not be prejudiced unless the substantive purpose of these 
Website Terms is then frustrated, in which case either party may terminate the Agreement 
forthwith on written notice.

21. Subcontracting and Affiliates  

POC Diagnostics is entitled to use its Affiliates and subcontractors to fulfil any of its 
obligations under the Agreement without separate permission from the Customer. The 
use of subcontractors in the processing of Personal Data is subject to the GDPR Data 
processing Addedendum. When using its Affiliates and subcontractors, in no case shall 
POC Diagnostics be relieved of overall responsibility of delivering the Service or Products 
to the Customer

22. Binding Effect

The applicable law biding this Terms is the English Law. Place of jurisdiction is London 
England, provided no overriding consumer protection law applies under EU Regulation 
(EU) 1215/2012. 
Should any individual provisions of these Terms of Service be or become wholly or partly 
inoperative or unworkable or where gaps are identified in the provisions, the validity of all 
other provisions will remain without prejudice therefrom.
